General Terms & Conditions

§1 Scope

(1) These General Terms and Conditions apply to all orders placed by consumers and businesses via the online shop of Yachtausrüster Wendel & Rados GmbH & Co. KG.
(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their self-employed professional activity (Section 13 of the German Civil Code (BGB)).
(3) An entrepreneur is a natural or legal person or a partnership with legal capacity who, at the time of concluding the contract, is acting in the course of their commercial or self-employed professional activity (Section 14 of the German Civil Code (BGB)).
(4) In relation to entrepreneurs, these General Terms and Conditions also apply to future business relationships without us having to expressly refer to them again.

§2 Contractual Partner
The purchase contract is concluded with:

§3 Conclusion of Contract
(1) The presentation of products in the online shop does not constitute a legally binding offer, but rather a non-binding invitation to place an order.
(2) By clicking the “Place order” button, the customer submits a binding offer to conclude a purchase contract.
(3) The seller may accept the offer within five days by
1. sending an order confirmation
2. delivering the goods
3. issuing a payment request.

§4 Prices and delivery charges
(1) All prices are quoted in euros.
(2) For consumers, prices include statutory VAT.
(3) Delivery charges may apply in addition to the prices quoted. These will be shown separately during the ordering process.

§5 Delivery
(1) Delivery will be made to the delivery address provided by the customer.
(2) Delivery times are specified in the respective product listing.
(3) Partial deliveries are permitted, provided they are reasonable for the customer.

§6 Payment
The following payment methods are available:

  • Prepayment
  • PayPal
  • Cash
  • Credit card
  • Klarna / Sofortüberweisung
  • Direct debit

The purchase price is due immediately upon conclusion of the contract.

§7 Retention of title
The goods remain the property of the seller until full payment has been made.
In relation to businesses, the retention of title applies until all claims arising from the ongoing business relationship have been settled in full.

§8 Warranty
(1) The statutory warranty rights apply.
(2) For consumers, the limitation period for claims for defects in new goods is two years from the date of delivery of the goods.
(3) For second-hand goods, the limitation period for claims for defects against consumers is one year from the date of delivery of the goods.
(4) For business customers, the warranty period is one year from delivery of the goods.
(5) The above limitation periods do not apply to claims for damages arising from injury to life, limb or health, or to claims for damages resulting from an intentional or grossly negligent breach of duty by the business customer, or in the event of fraudulent concealment of a defect. In these cases, the statutory limitation periods shall apply.

§9 Liability
(1) The seller shall be liable without limitation
in cases of wilful misconduct and gross negligence
in the event of injury to life, limb or health
under the Product Liability Act.
(2) In the event of a breach of essential contractual obligations due to slight negligence, liability is limited to the foreseeable damage typical for this type of contract.
(3) Any further liability is excluded.

§10 Right of withdrawal
Consumers are entitled to a statutory right of withdrawal.
The details are set out in the separate cancellation policy.

§11 Dispute resolution
The European Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

§12 Final Provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the customer is a trader, a legal entity under public law or a special fund under public law, the place of jurisdiction shall be the seller’s registered office.
(3) Should individual provisions of these General Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
